Terms of Service

1. Acceptance of Terms

By accessing or using the ArchCenter platform ("Service"), available at archcenter.in and any associated subdomains, mobile applications, or APIs, you ("User", "you") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and ArchCenter Technologies Private Limited ("ArchCenter", "we", "our", "us").

If you are entering into these Terms on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not access or use the Service.

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

2. Description of Service

ArchCenter is a cloud-based project management, invoicing, and client collaboration platform designed for architecture, engineering, and construction (AEC) firms operating in India. The Service includes, but is not limited to:

• Project and task management with phases, milestones, and Gantt-style tracking
• GST-compliant invoicing, proforma generation, and recurring billing
• Online payment collection via Razorpay integration
• Client portal for project visibility, file sharing, and approvals
• Document vault with version control and Google Drive synchronisation
• Time tracking and budget vs. actual reporting
• Quotations, contracts, and e-signature workflows
• Team management with role-based access control
• White-label branding and custom domain options (Agency plan)

We reserve the right to modify, add, or discontinue features of the Service at any time. We will provide reasonable notice of significant changes to existing features.

3. User Accounts & Registration

To access the Service, you must register and create an account. You agree to:

• Provide accurate, current, and complete registration information, including a valid email address and your firm's GST registration number where applicable
• Maintain and promptly update your account information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately at support@archcenter.in of any unauthorised use of your account or any other security breach
• Be responsible for all activities that occur under your account

You must be at least 18 years of age to register. Accounts registered by bots or automated methods are strictly prohibited. One firm entity may not operate multiple accounts to circumvent plan limits.

When you invite team members or clients to your firm's workspace, you are responsible for ensuring they comply with these Terms. Their actions within your workspace are attributed to your account.

4. Subscription & Payment Terms

4.1 Free Trial

New accounts are entitled to a 14-day free trial of the Trial plan. No credit card or payment information is required to start the free trial. At the end of the trial period, your account automatically transitions to read-only mode unless you subscribe to a paid plan. Trial accounts do not automatically convert to paid subscriptions — you must actively choose and pay for a plan.

4.2 Subscription Plans & Pricing

ArchCenter offers paid subscription plans (Starter, Studio, Agency) billed monthly or annually in Indian Rupees (INR). Current pricing is published at archcenter.in/pricing and may be changed with 30 days' prior notice. Prices displayed are exclusive of GST. GST at the applicable rate (currently 18%) will be added at checkout. A GST invoice will be issued for each payment.

4.3 Payment Processing

All payments are processed by Razorpay Software Private Limited ("Razorpay"), a third-party payment gateway. By providing your payment details, you agree to Razorpay's terms of service. ArchCenter does not store full card numbers or bank account details. Payments can be made via UPI, credit/debit card, net banking, or wallets as offered by Razorpay.

4.4 Auto-Renewal

Subscriptions renew automatically at the end of each billing period (monthly or annually) unless cancelled before the renewal date. You authorise ArchCenter to charge your stored payment method for the recurring subscription fee. You can cancel auto-renewal at any time from your Billing Settings. Cancellation takes effect at the end of the current billing period; you retain access to paid features until that date.

4.5 Failed Payments & Suspension

If a payment fails, we will notify you by email and retry up to three times over a 7-day grace period. If the payment remains unresolved, your account will be suspended (read-only mode). Your data will be retained for 90 days following suspension, after which it may be permanently deleted.

5. Intellectual Property

ArchCenter's IP: The Service, including its software, design, features, trademarks, and content (excluding User Content), is owned by ArchCenter Technologies Private Limited and is protected under Indian and international intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works of the Service without our express written permission.

Your Content: You retain all ownership rights to the data, files, drawings, documents, invoices, and other content you upload to or create within the Service ("User Content"). By uploading User Content, you grant ArchCenter a limited, non-exclusive, royalty-free licence to host, store, process, and display your User Content solely as necessary to provide the Service.

Feedback: If you submit suggestions, feature requests, or feedback about the Service, you grant ArchCenter a perpetual, irrevocable, royalty-free licence to use such feedback for any purpose without any obligation to compensate you.

6. Data & Privacy

Your privacy is important to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You are responsible for ensuring that the personal data of your clients, team members, and other individuals that you process through ArchCenter is handled in accordance with applicable data protection laws, including India's Digital Personal Data Protection Act (DPDPA) 2023. ArchCenter acts as a data processor on your behalf for such data, and we will process it only as instructed by your use of the Service.

Upon termination of your account, we will make your User Content available for export for 30 days. After this period, we may permanently delete your data in accordance with our data retention policy.

7. Termination

By you: You may terminate your account at any time from Account Settings or by contacting support@archcenter.in. Termination does not entitle you to a refund of any prepaid subscription fees, except as provided in our Refund Policy.

By ArchCenter: We may suspend or terminate your account immediately, without prior notice, if we determine in our sole discretion that you have violated these Terms, engaged in fraudulent activity, or your use of the Service poses a risk to other users or the integrity of the platform. We will provide notice of termination to your registered email address wherever practicable.

Upon termination, your right to access and use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including but not limited to Intellectual Property, Limitation of Liability, and Governing Law) shall continue to apply.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE INDIAN LAW, ARCHCENTER AND ITS DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING FROM OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL ARCHCENTER'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO ARCHCENTER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) INR 5,000.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. If you are a consumer resident in such a jurisdiction, some of the above limitations may not apply to you.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996 of India, with a single arbitrator appointed by mutual consent. The seat and venue of arbitration shall be Bengaluru, Karnataka, India.

Notwithstanding the above, either party may seek interim or injunctive relief from the courts of competent jurisdiction in Bengaluru, Karnataka, India.
